What happens after I complete the online investment process?
Investment payments are processed by our Escrow Agent, Prime Trust. Prime Trust will be the name that appears on ACH and Credit Card statements.

ACH and Credit Card transactions can take 1-2 business days to process. You will receive an email notification from when your funds are received.

Once funds are received, it can take up to 1-2 weeks to process your investment completely.
In some instances, we may reach out to you requesting additional information in order to finish processing your investment, which may increase the overall processing time.

Once your investment has been fully processed and confirmed, you will receive an Investment Confirmation email with your Signed Subscription Agreement and Ceremonial Certificate. You are officially an investor in Winc only when you receive this email.

If a couple of weeks pass by and you do not receive an Investor Confirmation email with your Signed Subscription Agreement and Ceremonial Certificate, please email us at We may still require additional information from you in order to process your investment fully. We recommend you check your spam folder first for any email communications!

How does Winc market its products?
We use a range of marketing strategies, including social media marketing, influencer partnerships, brand partnerships, organic social, and PR. We have also successfully established large-scale brand awareness through strategic wholesale partners like The Hollywood Bowl (the largest outdoor music venue in the US), where we have been the official wine partner the last three years, and will continue to be for the next five.

We directly target millennials and Gen-X (over 80% of our member base), a demographic that traditional wineries have trouble reaching. Silicon Valley Bank's "State of the Wine Industry Report 2019" cites that Gen-X will eclipse Boomers to become "the largest fine wine consuming generation" by the year 2021, while Millennials will eclipse Gen-X in 2026. The largest consumer group in the market sector, at 73M strong, Millennials tend to value transparency, quality, experience, and convenience above all when determining loyalty toward a product or service.
Where are Winc’s production/manufacturing facilities located?
We produce our wines in winery and bottling facilities in California where we hold licenses under alternating proprietorship agreements with one-year terms. The activities conducted at these outside facilities include crushing, fermentation, storage, blending, and bottling.
Where are Winc’s products sold?
Direct-to-Consumer Channel ( Winc membership delivers tailored wine recommendations, while providing context and education around each glass. 

Wholesale channel (Whole Foods, Vons, Gelsons, Cost Plus World Market, and more): After being validated through online membership (ratings, velocity, customer feedback), select brands that have proof-of-concept are scaled in the broader retail market.
What production materials are used?
We use glass and other materials such as corks, labels and cardboard in the bottling and packaging of our products. Consistent with our commitment to reducing our impact on the environment, we minimize the use of bottle capsules in our packaging.


What does pricing look like for Winc’s wines?
Our wine prices start at $15.00, or $12.99 for members; the most expensive wines we produce are priced at $54.99, or $46.00 for members, which would be considered luxury wines.
How many shares are being offered?
We are offering a minimum number of 1,237,974 shares of Series D Preferred Stock and a maximum number of 10,611,205 shares of Series D Preferred Stock on a "best efforts" basis.
How will proceeds from this offering be used?
The net proceeds of a fully subscribed offering, after total offering expenses and commissions, will be approximately $15,000,000. Winc plans to use the net proceeds as follows:
  • Approximately 30% to purchase additional advertising for the purpose of acquiring additional customers.
  • Approximately 30% to expand inventory through purchases of additional grapes from new and existing suppliers.
  • Approximately 40% to fund acquisitions of brands to add to the Winc portfolio.
Will I be able to sell/transfer my shares?
Currently there is no market of liquidity for Regulation A+ shares. As an investor in a private company, you typically receive a return on your investment under the following two scenarios:
  1. The company gets acquired by another company.
  2. The company goes public (undergoes an initial public offering on the NASDAQ, NYSE, or another exchange).
We believe going public is a possibility in the next handful of years. Our goal right now is to build a close community of investors that will be advocates for the brand and help us grow. This raise allows us to build a strong community of thousands of retail investors before to make a potential IPO successful. We believe we can continue to grow the company organically and through acquisitions over the next few years and consider a potential IPO once the company is more mature.

What is the difference between an accredited vs. non-accredited investor?
An accredited investor is an individual who makes over $200,000 per year in income ($300,000 if combined with a spouse) or who has a net worth of $1 million or more, excluding their primary residence. A non-accredited investor is anyone who does not meet at least one of the income or net worth requirements for being considered an accredited investor.
Do I need to be an accredited investor to invest?
No, the offering is open to both accredited and non-accredited investors.
What methods of payment do you accept?
We accept payments using a debit/credit card (Visa & Mastercard), Bank Account (ACH), Wire, Check, or IRA.
